Please read these Terms of Service carefully before accessing or using Score360's services. By creating an account, downloading our app, attending our events, or using any of our platforms, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Introduction
Welcome to Score360. These Terms of Service ("Terms") govern your access to and use of all products, services, platforms, applications, events, and educational programmes offered by Score360 Limited and its affiliated entities (collectively, "Score360," "we," "our," or "us").
Score360 is an educational technology company committed to delivering high-quality, AI-powered learning experiences to students, educators, schools, and institutions across Nigeria and Africa. We operate digital platforms, mobile applications, web systems, physical innovation hubs, and educational events.
By accessing or using any part of our services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines we publish from time to time.
2. Definitions
For the purposes of these Terms, the following definitions apply:

| "Platform" | Score360's websites, mobile applications, digital systems, learning management systems, or cloud-based services. |
| "Content" | Text, graphics, videos, audio, software, data, educational materials, assessments, or any other form of media or information. |
| "Account" | A registered profile created by a User to access personalised features of the Platform. |
| "Subscription" | A paid plan granting access to premium features or services. |
| "AI Systems" | Automated tools, algorithms, machine learning models, and other artificial intelligence technologies used in delivering or improving our Services. |
3. Scope of Services
Score360 provides a comprehensive range of educational technology services, including but not limited to:
- AI-powered personalised learning platforms for students and learners
- Diagnostic assessments, adaptive practice tests, and exam preparation tools
- School and institutional management systems for educators and administrators
- Physical and virtual innovation hubs and co-working spaces
- Educational events, competitions, hackathons, and training programmes
- Career development and professional growth resources
- Community platforms for learners, educators, and parents
We reserve the right to introduce, modify, suspend, or discontinue any service or feature at any time, with reasonable notice where practicable.
4. Eligibility
Our Services are available to users of all ages; however, users under the age of 18 ("Minors") must have verifiable consent from a parent or legal guardian to create an account or use premium services. Schools and institutions creating accounts on behalf of minors take on responsibility for ensuring appropriate consent has been obtained.
You represent and warrant that:
- You have the legal capacity to enter into these Terms
- If acting on behalf of an organisation, you are authorised to bind that organisation
- All information you provide is accurate, current, and complete
- You will maintain the accuracy of your information and promptly update it as needed
5. User Accounts & Access
To access certain Services, you may be required to register for an account. When creating an account, you agree to:
- Provide truthful, accurate, and complete registration information
- Keep your password and login credentials confidential
- Notify us immediately of any unauthorised use of your account
- Accept responsibility for all activities conducted under your account
- Not share your account with or transfer it to another person
Score360 reserves the right to suspend or terminate accounts found to be in violation of these Terms or suspected of fraudulent or unauthorised use.
6. Acceptable Use
You agree to use Score360's Services only for lawful, educational, and authorised purposes. You must not:
- Use our Services to engage in any illegal activity or to facilitate others in doing so
- Harass, threaten, bully, or harm other users, staff, or members of our community
- Upload, share, or distribute content that is defamatory, obscene, hateful, or discriminatory
- Attempt to gain unauthorised access to our systems, accounts, or data
- Interfere with or disrupt the integrity or performance of our Services
- Copy, redistribute, resell, or exploit our Content or Services without prior written consent
- Use automated tools, bots, or scrapers to access or extract content from our Platform
- Misrepresent your identity or impersonate any person, institution, or entity
- Use our platform to conduct unauthorised commercial activities or advertising
Violation of these Acceptable Use provisions may result in immediate suspension or termination of your access without refund.
7. Educational Services & Learning Activities
Score360's educational services are designed to complement, not replace, formal schooling. Our platforms provide supplementary learning support, exam preparation, and skills development. We make no guarantee of specific academic outcomes, results, or examination scores.
All Content on our Platform is provided for educational and informational purposes. While we strive to ensure accuracy and quality, Score360 does not warrant that our educational materials are error-free, complete, or suitable for every individual's needs.
You acknowledge that learning outcomes depend on individual effort, consistency, and engagement with the materials provided.
8. AI Systems & Automated Technologies
Score360 uses artificial intelligence, machine learning, and automated systems to personalise learning, generate recommendations, assess performance, and improve the overall user experience. By using our Services, you consent to the use of such technologies.
Our AI systems are designed to support learning, not to make definitive judgements about a learner's potential, intelligence, or future performance. AI-generated insights should be used as one of many factors in educational decision-making.
We are committed to responsible AI use, including transparency, fairness, and protecting user data. We do not use AI systems to discriminate based on protected characteristics.
9. Payments, Fees & Billing
Some of Score360's services are available free of charge, while others require a paid subscription or one-time payment. Pricing, billing cycles, and payment methods are described on our Platform.
- All fees are stated in Nigerian Naira (NGN) unless otherwise specified
- Subscriptions automatically renew unless cancelled before the renewal date
- You authorise us to charge the payment method on file for applicable fees
- Pricing is subject to change with reasonable advance notice
- Taxes and levies may apply depending on your location
Payment processing is handled by authorised third-party payment providers. We do not store full payment card details on our systems.
10. Refunds & Cancellations
Score360 operates a fair refund policy. Refund eligibility depends on the type of service, the extent of use, and the circumstances of the request.
- Subscription fees are non-refundable once the billing period has commenced, unless otherwise required by law
- Requests for refunds due to technical failures will be assessed individually
- Event or programme registrations may have specific cancellation policies communicated at the time of registration
- Refund requests should be submitted within 14 days of the charge to support@schoolville.ai
11. Intellectual Property Rights
All Content on the Score360 Platform, including but not limited to text, graphics, logos, icons, videos, audio, software, databases, and educational materials, is the proprietary property of Score360 or its content licensors and is protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to:
- Access and use the Platform for personal, non-commercial educational purposes
- Download or print content solely for personal use, where expressly permitted
You must not, without prior written permission from Score360:
- Reproduce, modify, distribute, or create derivative works from our Content
- Reverse-engineer, decompile, or disassemble any part of our software
- Use our branding, trademarks, or trade names in any misleading manner
12. User Content & Submissions
Users may submit content to our Platform including answers, essays, discussion posts, uploads, feedback, or other materials ("User Content"). By submitting User Content, you grant Score360 a non-exclusive, royalty-free, worldwide licence to use, store, display, and adapt such content for the purposes of delivering and improving our Services.
You retain ownership of your User Content, and you represent that:
- You own or have the right to submit the content
- The content does not infringe any third party's intellectual property or other rights
- The content does not violate any applicable law or these Terms
Score360 reserves the right to remove any User Content that violates these Terms or is otherwise deemed inappropriate.
13. Privacy & Data Protection
Your privacy is important to us. Our Privacy Policy, incorporated into these Terms by reference, explains how we collect, use, store, and protect your personal information in compliance with the Nigeria Data Protection Act (NDPA), the Nigeria Data Protection Regulation (NDPR), and applicable international standards.
By using our Services, you consent to the collection and use of your data as described in our Privacy Policy.
14. Child Protection & Safeguarding
The safety and wellbeing of children is a paramount concern for Score360. We are committed to creating a safe learning environment for all young users.
- We do not knowingly collect personal data from children under 13 without verified parental or guardian consent
- Schools and educators using our platform must comply with applicable child protection laws
- Any suspected exploitation, abuse, or inappropriate content involving minors must be reported immediately
- We cooperate fully with relevant authorities in cases involving child safety
Parents and guardians may contact us at legal@schoolville.com to request deletion of a minor's data or to raise child protection concerns.
15. Events, Competitions & Hackathons
Score360 organises and participates in educational events, competitions, hackathons, workshops, and similar activities. Participation in these events is subject to specific rules and conditions communicated at the time of registration.
- Event participation may require separate consent or registration forms
- Intellectual property created during hackathons may be subject to specific IP provisions
- Score360 reserves the right to photograph, record, and feature participants in promotional materials (consent is obtained separately)
- Prize distributions, judging criteria, and eligibility requirements are outlined in event-specific terms
16. Innovation Hub & Facility Usage
Users accessing Score360's physical Innovation Hub or co-working facilities agree to abide by the facility usage rules, health and safety guidelines, and community standards posted at the facility or communicated during onboarding.
- Facilities are for educational, creative, and professional use only
- Users are responsible for any damage caused to equipment or facilities during their use
- Score360 reserves the right to refuse or revoke access for conduct violations
- Booking and access rules are subject to change with notice
17. Third-Party Services & Integrations
Score360 may integrate with or link to third-party services, tools, applications, or websites. These third-party services have their own terms and privacy policies, and we encourage you to review them.
Score360 is not responsible for the practices, content, or availability of third-party services. The inclusion of third-party links or integrations does not constitute an endorsement by Score360.
18. Availability of Services
We strive to maintain consistent availability of our Services. However, we cannot guarantee uninterrupted access and are not liable for service interruptions caused by:
- Scheduled or emergency maintenance
- Technical failures, network outages, or infrastructure issues
- Force majeure events (as defined in Section 25)
- Actions of third parties or external service providers
We will endeavour to provide advance notice of planned maintenance where reasonably practicable.
19. Cybersecurity & System Protection
Score360 implements industry-standard cybersecurity measures to protect our systems, data, and users. You agree not to:
- Attempt to breach or circumvent our security systems
- Introduce malware, viruses, or other malicious code into our systems
- Conduct penetration testing or vulnerability assessments without prior written consent
- Intercept, monitor, or alter communications between users and Score360
If you discover a security vulnerability, please report it responsibly to legal@schoolville.com. We appreciate responsible disclosure and will respond promptly.
20. Disclaimers
Score360's Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding the accuracy, completeness, or reliability of any content
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding specific academic or examination outcomes
21. Limitation of Liability
To the fullest extent permitted by applicable law, Score360 and its officers, directors, employees, agents, and partners shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages resulting from your use of or inability to access our Services
- Damages caused by third parties, external services, or events beyond our control
Where liability cannot be excluded by law, our total aggregate liability shall not exceed the amount paid by you to Score360 in the 12 months preceding the claim.
22. Indemnification
You agree to indemnify, defend, and hold harmless Score360 and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any content you submit, post, or transmit through our Platform
23. Suspension & Termination
Score360 reserves the right to suspend or terminate your access to our Services at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or posed a risk to other users or our systems.
You may terminate your account at any time by contacting us at support@schoolville.ai. Upon termination:
- Your right to access the Services ceases immediately
- We may retain certain data as required by law or for legitimate business purposes
- Provisions that by nature should survive termination (including IP, liability, and dispute resolution clauses) shall remain in effect
24. Government & Regulatory Compliance
Score360 operates in compliance with applicable Nigerian laws and regulations, including but not limited to:
- The Nigeria Data Protection Act (NDPA) 2023
- The Nigeria Data Protection Regulation (NDPR)
- The Cybercrime (Prohibition, Prevention, etc.) Act
- The Consumer Protection Council Act
- Regulations of the National Information Technology Development Agency (NITDA)
- The Federal Competition and Consumer Protection Act (FCCPA)
We cooperate fully with regulatory authorities and law enforcement agencies as required by law.
25. Force Majeure
Score360 shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, floods, fires, or other acts of God
- War, civil unrest, terrorism, or government actions
- Pandemics, epidemics, or public health emergencies
- Power outages, internet disruptions, or infrastructure failures
- Actions of third-party service providers
26. Modifications to Services or Terms
Score360 reserves the right to modify these Terms at any time. When we make significant changes, we will notify users via email, in-app notification, or a prominent notice on our Platform at least 14 days before the changes take effect.
Your continued use of our Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of our Services.
27. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of a dispute, the parties agree to:
- First attempt to resolve the matter amicably through direct negotiation
- If unresolved within 30 days, submit the dispute to mediation facilitated by a mutually agreed mediator
- If mediation fails, submit to binding arbitration in accordance with Nigerian arbitration law
- The courts of Nigeria shall have exclusive jurisdiction for matters that cannot be resolved through arbitration
28. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.
29. Entire Agreement
These Terms, together with our Privacy Policy and any other policies, guidelines, or rules published by Score360, constitute the entire agreement between you and Score360 regarding your use of our Services and supersede all prior agreements, understandings, or representations.

By accessing or using Score360's services, you acknowledge that you have carefully read, understood, and agreed to be bound by these Terms of Service, including all policies incorporated by reference. You further acknowledge that these Terms represent a legally binding agreement between you and Score360.
